Terms of Service

Welcome to ColourDeck ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the ColourDeck website, application, database, and related services (collectively, the "Service").
By creating an account, starting a free trial, or using the Service, you ("Customer," "User," or "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, practice, or studio, you represent that you have the authority to bind that entity.
1. The Service & Intended Use
- Scope of Service: ColourDeck provides an architectural and interior design specification utility, including multi-supplier paint catalog search, RGB/color space approximation tools, Light Reflectance Value (LRV) contrast calculations, palette design, and specification export tools.
- Professional Tool: The Service is intended for use by commercial and residential design professionals, architects, specifiers, and contractors.
2. Critical Disclaimers: Color Accuracy & Compliance
- Screen & Digital Color Approximations: You acknowledge that digital screen representations (sRGB, HEX, CMYK, etc.) vary significantly based on display hardware, calibration, ambient lighting, sheen levels, and substrate materials. ColourDeck’s matching algorithms provide mathematical approximations of paint swatches. ColourDeck does not guarantee a 100% physical match.
- Mandatory Physical Verification: You agree that ColourDeck is a preliminary specification tool. You must always obtain and physically inspect real manufacturer paint drawdowns, sample pots, or physical swatches under actual project lighting before placing bulk tinting orders or commencing application. ColourDeck is not liable for costs associated with incorrect tinting, repainting, or mis-specified materials.
- LRV & Building Code Compliance: LRV values and contrast percentages provided in ColourDeck are sourced from published manufacturer data or mathematical models. While provided in good faith for compliance workflows (such as AS 1428.1 or NCC guidelines), you remain solely responsible for independently verifying final physical contrast values on site to satisfy regulatory compliance.
3. Accounts & Subscriptions
- Account Registration: You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.
- Subscription Tiers:
- Individual Plan: Licensed for use by a single individual. Credentials may not be shared across multiple team members.
- Studio / Team Plan: Licensed on a per-seat basis for a defined number of authorized users within your practice. The account administrator may assign and reassign seats to staff as needed.
- Billing Cycles & Auto-Renewal: Subscriptions are billed in advance on an annual or monthly basis (as selected at checkout). Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date via your in-app billing settings.
- 14-Day Free Trial:
- Where offered, your free trial begins upon registration and valid payment method entry.
- You will not be charged during the 14-day trial period.
- If you do not cancel before the end of the 14th day, your provided payment method will be charged the applicable subscription fee for the selected plan.
- Cancellations & Refunds: You may cancel your subscription at any time via the customer billing portal. Cancellation takes effect at the end of the current pre-paid billing period, and you will retain access until that date. Except where required under the Australian Consumer Law, fees paid are non-refundable for change-of-mind.
4. Third-Party Catalogs & Supplier Data
- Catalog Availability: Paint formulations, supplier ranges, color names, and product lines are subject to change, reformulation, or discontinuation by third-party manufacturers without notice.
- Third-Party Links: Links to order samples or view third-party supplier websites are provided for convenience. We do not manufacture, sell, or ship physical paint samples unless explicitly stated, and we are not responsible for supplier fulfillment delays.
5. Service Availability, Maintenance & Downtime
- Commercially Reasonable Uptime: We strive to maintain continuous platform availability but do not warrant that the Service will be 100% uninterrupted, error-free, or entirely bug-free.
- Maintenance: We may perform routine maintenance, updates, or infrastructure upgrades from time to time. Where practicable, scheduled downtime will occur outside of standard Australian business hours.
- Outages Beyond Our Control: We are not liable for service interruptions caused by third-party hosting providers (e.g., cloud infrastructure, AWS), local internet connectivity, or force majeure events.
6. Intellectual Property
- Our IP: ColourDeck, including its software code, interface design, algorithms, databases, logos, and documentation, is the exclusive intellectual property of ColourDeck. You are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes.
- Your Data: You retain full ownership of the project palettes, design boards, and exported client spec sheets you create. You grant us a licence to store, back up, and process this content solely to deliver the Service to you.
- Supplier Trademarks: All third-party paint brand names, trademarks, and color range titles belong to their respective owners and are referenced solely for identification and specification purposes.
7. Limitation of Liability & Australian Consumer Law
- Australian Consumer Law (ACL): Nothing in these Terms excludes, restricts, or modifies any statutory consumer guarantees or rights conferred on you by Schedule 2 of the Competition and Consumer Act 2010 (Cth) that cannot be lawfully excluded.
- Limitation of Remedies: To the maximum extent permitted by law, our liability for failure to comply with a non-excludable statutory guarantee is limited, at our option, to:
- Supplying the services again; or
- Paying the cost of having the services supplied again.
- Exclusion of Consequential Loss: To the extent permitted by law, ColourDeck shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, loss of client contracts, business interruption, rework/repainting expenses, or loss of data arising out of or related to your use of the Service.
- Monetary Liability Cap: In all other circumstances, our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total subscription fees paid by you to ColourDeck in the twelve (12) months preceding the claim.
8. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or extract the source code or proprietary algorithms of ColourDeck;
- Use automated scrapers, bots, or harvesting tools to extract our aggregated multi-supplier paint database;
- Resell, sublicense, or rent access to the platform to unauthorized third parties;
- Interfere with or compromise the security, integrity, or infrastructure of the Service.
9. Modifications to Terms
We may update these Terms from time to time to reflect product changes, legal requirements, or fee updates. If a change is material, we will provide at least 30 days' notice by email or via an in-app notification prior to the change taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
10. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Queensland, Australia. Both parties submit to the exclusive jurisdiction of the courts located in Queensland and the Federal Court of Australia for any disputes arising out of these Terms.
